Acceptance of Terms
By accessing or using the WAVFlow website at wavflow.co or the WAVFlow6 in-store audio platform (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Services.
These Terms constitute a legally binding agreement between you and WAVFlow ("we", "us", or "our"). We reserve the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
Eligibility
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

Music Licensing and Content
The WAVFlow6 platform provides access to a curated library of licensed music for in-store commercial use. Your subscription grants you a non-exclusive, non-transferable licence to stream music through the platform solely for background music purposes at your registered business locations.
Payment and Subscriptions
Certain features of the Services require payment of fees. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. All fees are stated in the currency specified at checkout and are exclusive of applicable taxes unless otherwise stated.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at [email protected].
Intellectual Property
The Services and all content, features, and functionality thereof — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the WAVFlow6 platform — are owned by WAVFlow or its licensors and are protected by Philippine and international intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in or to the Services or any content therein, except for the limited licence expressly granted above. All rights not expressly granted are reserved by WAVFlow.
User Content
If you submit, upload, or otherwise provide any content to us (such as feedback, suggestions, or business information), you grant WAVFlow a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and improving the Services.
You represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe any third-party rights or violate any applicable law.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from use of the Services will be accurate or reliable.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WAVFLOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL WAVFLOW'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO WAVFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless WAVFlow and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of the Philippines.
Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
